  9.          Avaya Inc. END USER LICENSE AGREEMENT 
  10.              FOR SOFTWARE AND DOCUMENTATION

  13. BY INSTALLING, LOADING OR USING THE SOFTWARE, 
  14. YOU ARE CONSENTING TO BE BOUND BY THIS AGREEMENT.  
  15. IF YOU DO NOT AGREE TO ALL OF THE TERMS OF THIS
  16. AGREEMENT, DO NOT DOWNLOAD, COPY OR INSTALL THIS SOFTWARE.

  20. GRANT.  
  21. Subject to the terms and conditions of this License 
  22. Agreement, Avaya Inc. ("Avaya Inc.")
  23. hereby grants you a non-exclusive license to use its 
  24. accompanying software and documentation ("Software") free
  25. of charge for the limited purpose of installing the Avaya
  26. Wireless hardware in one of the supported computer operating
  27. systems as identified in the User Documentation, and/or 
  28. diagnosing the operation and radio performance of the Avaya 
  29. Wireless LAN equipment and for no other purpose.
  30.  
  31. GEOGRAPHIC LIMITATION.
  32. You may not download or use the Software in any country or
  33. jurisdiction where applicable law requires the Software or
  34. this License Agreement to be in a language other than 
  35. English.

  38. SCOPE OF GRANT.  
  39. The Software is contained in either a dedicated set of
  40. files and folders when provided on CD-ROM, or a self-
  41. extracting executable file when provided via the Avaya 
  42. website. You must follow Avaya's installation 
  43. instructions to load the Software on your processor.  
  44. You may copy the files for your own use and for 
  45. noncommercial distribution to others, provided:
  46.  
  47. * You do not receive any form of payment for the Software,
  48.   and do not distribute it with products or services for 
  49.   which you receive payment; 
  50. * Every copy of the Software must contain all of the
  51.   original Software's proprietary notices and license 
  52.   agreement provisions; and 
  53. * Every user of the Software must accept the terms and 
  54.   conditions of this license agreement.
  55.  
  56. You may not:  
  57.  
  58. * Permit others to use the Software except under the terms
  59.   stated above;  
  60. * Modify, translate, reverse engineer, decompile, 
  61.   disassemble (except to the extent applicable laws 
  62.   specifically prohibit such restriction), or 
  63.   create derivative works based on the Software or its 
  64.   interface specifications; 
  65. * Copy the Software (except as specified above); 
  66. * Rent, lease or otherwise transfer rights to the Software; 
  67. * Remove any proprietary notices or labels pertaining to the 
  68.   Software.

  70. TITLE.   
  71. Title, ownership rights, and intellectual property rights
  72. in the Software shall remain in Avaya Inc. and/or 
  73. its suppliers.  Avaya Inc. and/or its suppliers 
  74. reserve all rights not expressly granted herein.  
  75. The Software is protected by the copyright laws and 
  76. treaties.  Title and related rights in the content accessed
  77. through the Software is the property of the applicable 
  78. content owner and may be protected by applicable law.  
  79. This license gives you no rights to such content.
  80.  
  81. TERMINATION.  
  82. Avaya Inc. may terminate this license at any time,
  83. without requirement of cause, by giving you written notice.
  84. The license will automatically terminate immediately if you
  85. use the Software for any purpose not authorized by the 
  86. above license, or if you fail to comply with the terms and
  87. conditions of this license agreement. 
  88. On termination, you must destroy all copies of the Software
  89. and related documentation.
  90.  
  91. EXPORT CONTROLS.  
  92. The Software is subject to United States export laws and 
  93. regulations.  You may not download or otherwise export or 
  94. re-export the Software or underlying information or 
  95. technology in violation of those laws and regulations.
  96. By downloading or using the Software, you are agreeing 
  97. to the foregoing and you are representing and warranting
  98. that you are not violating, and will not violate, those
  99. laws and regulations.
  100.  
  101. MISCELLANEOUS.  
  102. This Agreement represents the complete agreement concerning
  103. this license and may be amended only by a writing executed
  104. by you and by Avaya Inc..  
  105. If any provision of this Agreement is held to be 
  106. unenforceable, such provision shall be reformed only to the
  107. extent necessary to make it enforceable.  This Agreement 
  108. shall be governed by the laws of the State of Delaware, 
  109. United States of America (except for conflict of law 
  110. provisions).  The application of the United Nations 
  111. Convention of Contracts for the International Sale of Goods
  112. is expressly excluded.
  113.  
  114. U.S. GOVERNMENT RESTRICTED RIGHTS.  
  115. If you are acquiring Software on behalf of any part of the
  116. United States Government, the following provisions apply: 
  117. The Software is deemed to be "commercial software" and 
  118. "commercial computer software documentation." Any use, 
  119. modification, reproduction, release, performance, display,
  120. or disclosure of the Software by the United States 
  121. Government or any of its agencies shall be governed solely
  122. by the terms and conditions of this License Agreement, and
  123. shall be prohibited except to the extent expressly 
  124. permitted by the terms and conditions of this License 
  125. Agreement.
